Ukraine Bill Seeks Foreign Investor for Capital Markets

KYIV — September 25, 2026. A new bill in Ukraine’s parliament proposes a framework for attracting a strategic foreign investor into the country’s capital-market infrastructure.

Draft Law No. 16038-1 was registered in the Verkhovna Rada on September 21, 2026.

The proposal concerns amendments to Ukrainian law governing the participation of a strategic foreign investor in capital-market infrastructure.

What Bill 16038-1 Is About

The proposal comes as Ukraine seeks to modernize financial-market infrastructure and deepen integration with international markets.

The government has separately described capital-market reform as part of a broader package of measures linked to Ukraine’s international financial commitments.

That reform package includes plans to consolidate key market institutions and attract an international strategic investor through an open competition.

Why a Strategic Investor Matters

A strategic investor can provide more than capital.

Depending on the final structure, an international investor could also bring market technology, governance standards, operational expertise and links to global financial infrastructure.

For Ukraine, stronger domestic capital markets could eventually provide companies with more financing options beyond traditional bank lending and international assistance.

The Bill Is Not Yet Law

Bill 16038-1 has been registered in parliament, but registration does not mean that it has been enacted.

The proposal must proceed through the legislative process before any new legal framework becomes effective.

Investors should therefore distinguish between the government’s policy objective and the legal rules currently in force.

Connection to Ukraine’s Investment Strategy

The proposal follows a broader push to attract international private capital for reconstruction and economic development.

President Volodymyr Zelenskyy met executives from more than 30 U.S. companies and major international financial institutions in New York on September 24.

Why It Matters for Business

Ukraine’s ability to attract long-term investment will depend in part on financial infrastructure that foreign investors can understand and trust.

Capital-market reform may therefore become an important part of reconstruction policy, particularly for larger projects that require equity, debt financing or international institutional participation.
